About Atelier Exactli: Atelier Exactli is a self-paced ExAC study preparation platform offering digital study guides, recorded lessons, mock questions, resource summaries, and optional support tools. It is not a school, university, professional order, licensing authority, or official ExAC preparation course.
1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the Atelier Exactli website (the "Site") and all services, content, and features offered through it. These Terms constitute a legally binding agreement between you (an individual or an entity) and Atelier Exactli Inc. ("Atelier Exactli," "Company," "we," "us," or "our"). By accessing or using our Site or services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with these Terms, you must not use the Site or our services.
We may update these Terms from time to time. We will notify users of any material changes by updating the "Last updated" date above. Your continued use of the Site after such changes constitutes acceptance of the new Terms.

3. Definitions
For purposes of these Terms:
Account: A user profile created on our Site, containing personal information and login credentials, used to access certain services or content.
Content: All text, images, graphics, study materials, videos, webinars, audio files, animations, illustrations, practice questions, lecture slides, templates, worksheets, ebooks, downloadable files, and other digital resources and material provided on the Site or through our Services, whether free or paid.
Services: Educational services we provide through the Site, including, but not limited to: digital study packages (complete or section-specific), optional live Q&A events or recordings, flashcards, templates, worksheets, ebooks, or downloadable files, community forums, discussion boards, or support features, and free tools, resources, or trial access.
Contribution: Any content that a User submits, posts, or transmits on our Site, including comments, forum posts, messages, reviews, or other user-generated content.
User (also "you"): Any individual or entity who accesses or uses the Site or our Services, whether as a guest or as a registered member.
Site: Refers to our website at https://exactli.ca (or any sub-domain thereof) and any other online platform or media channel owned and operated by Atelier Exactli Inc. that links to these Terms.
4. Eligibility & Age Restriction
Our Services are intended only for adults 18 years of age or older. By using the Site, you confirm that you are at least 18 years old. The Services are not directed to, and we do not knowingly permit their use by, anyone under 18.
5. Business Customers
These Terms apply to all users of our Site and Services, whether you are an individual consumer or a business entity. If you are using our Services in the course of a business or on behalf of your employer, you agree that you have authority to bind that business to these Terms. No additional or alternative terms presented by business customers will apply to our Services unless expressly agreed by us in writing.
6. Intellectual Property Rights
Unless otherwise indicated, all content and materials available on the Site are the property of Atelier Exactli Inc. or are licensed to us, and are protected by copyright, trademark, and other intellectual property laws.
Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Site and its Content for your personal, non-commercial use only. You may download or print portions of the Content you have purchased or legitimately accessed for your personal study purposes. You must not: copy, reproduce, modify, distribute, publicly display, republish, upload, post, or transmit any part of the Site or Content for any commercial purpose without our prior written permission. Redistribution, resale, or unauthorized sharing of materials is strictly prohibited. All rights not expressly granted to you in these Terms are reserved by us and our licensors.
Unauthorized Use Penalties: All of our study materials and other Content are intended for personal, non-commercial use only. Unauthorized sharing, copying, distributing, or reselling of Content—including but not limited to login credentials, files, recordings, or downloads—is strictly prohibited. If we detect unauthorized use, we may immediately revoke your access without refund and pursue remedies as permitted by law. In certain cases, Atelier Exactli may seek damages up to the value of the misused Content, in addition to terminating your access. Repeated or serious violations may result in legal action.
7. Third-Party Intellectual Property
Our Site may contain content owned by third parties (for example, third-party logos, trademarks, or references to third-party materials or websites). All such third-party content is the property of its respective owners. Use of any third-party trademarks or content on our Site is for informational purposes or to describe compatibility, and does not imply endorsement or affiliation by us. Except as allowed by applicable law or with permission from the owner, you may not use, reproduce, or distribute any third-party content from our Site.
We acknowledge that "ExAC" and any other exam or certification names mentioned on the Site may be trademarks of their respective owners. Atelier Exactli is an independent service and is not affiliated with or endorsed by any official architecture boards or exam administrators, including OAQ or the official ExAC administrators.
8. Fair Use of Content
Nothing in these Terms prohibits you from reproducing or sharing portions of our Content that are permitted by law under "fair dealing" or other applicable exceptions to intellectual property rights (for example, quoting limited excerpts for the purpose of review or commentary). However, any such use must be truly authorized under the law. Apart from what is allowed by law, you agree not to use any Content in a way that infringes our rights or the rights of others.
9. Links to Other Websites
Our Site may contain links to third-party websites or resources for your convenience (for example, references to external study resources, industry organizations, or articles). We have no control over the content or practices of those third-party sites, and we are not responsible or liable for any information, materials, products, or services they provide. The inclusion of any external link does not imply our endorsement of the linked website or any association with its operators. If you access a third-party site via a link on our Site, you do so at your own risk, and you understand that these Terms and our policies no longer apply once you leave our Site. Our Site may contain links to third-party websites or resources, some of which may include affiliate links. This means that if you click on the link and make a purchase, we may receive a small commission at no additional cost to you. These links are provided solely for your convenience.
Atelier Exactli does not endorse, guarantee, or assume responsibility for any third-party websites, products, or services accessed through such links. You acknowledge and agree that your interactions with such third parties are solely between you and the third party, and Atelier Exactli is not liable for any loss or damage resulting from those interactions.
11. Linking to Our Site
We welcome links to our homepage (https://exactli.ca) for non-commercial, informational, or educational purposes, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You may not establish a link in a way that suggests any form of association, approval, or endorsement by us without our express written consent. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply with all relevant laws and must not contain any material that would violate Section 14 (User Conduct) of these Terms.
12. User Accounts and Registration
To access certain Services (such as purchasing study packages or participating in our community forums), you will need to create an Account. When creating an Account, you agree to: (a) provide accurate, current, and complete information (including your name and a valid email address); and (b) maintain and promptly update your Account information as needed to keep it true and up-to-date. You must not impersonate anyone or use false details.
Account Security: You are responsible for maintaining the confidentiality of your login credentials (username and password) and for restricting access to your Account. You agree to keep your password secret and not share your Account with any third party. You are responsible for all activities that occur under your Account (including any purchases or content posted). If you believe that someone else has accessed your Account without permission, you must notify us immediately at [email protected] so we can assist in securing your account. We are not liable for any loss or damage arising from unauthorized use of your credentials if you fail to keep them confidential.
We reserve the right to suspend or terminate your Account (see Section 15 below) or to reclaim or change the username associated with your Account if, in our sole discretion, we determine it is inappropriate, obscene, or otherwise violates these Terms or applicable law.
13. Reviews Guidelines
If you post a review or rating on our Site:
- You must have firsthand experience with the study materials.
- Reviews must not contain profanity, hate speech, or references to illegal activity.
- False, misleading, or competitor-solicited reviews are prohibited.
- Organized campaigns to manipulate ratings are not allowed.
- Reviews must be based on genuine experience and must not include confidential exam content or disclose proprietary ExAC exam questions.
We reserve the right to remove reviews that violate these guidelines.
We will not use your name, likeness, testimonial, or review in marketing materials without your consent.
14. User Conduct and Community Guidelines
When using our Site and Services (including any community forums, discussion boards, comment sections, or other communication tools on the Site), you agree to conduct yourself in a respectful and lawful manner. You must not:
- Harass, bully, or discriminate: Post or transmit any content that is threatening, abusive, harassing, defamatory, libelous, hateful, or that encourages violence or discrimination against any individual or group based on attributes such as race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or age.
- Use obscene or offensive content: Content that is obscene, vulgar, sexually explicit, or graphically violent is prohibited.
- Engage in illegal or unauthorized activities: Use the Site for any unlawful purpose or to promote illegal activities, or upload content that encourages criminal conduct or violates any local, provincial, federal, or international law or regulation.
- Spam or advertise: Unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation is strictly forbidden. Do not collect or harvest other users' contact information for the purposes of sending spam.
- Impersonate or provide false information: Do not impersonate any person or entity (including an Atelier Exactli staff member or another user), or misrepresent your identity or affiliation. You must not create accounts by automated means or under false pretenses.
- Interfere with Site operations: Do not attempt to disrupt the Site's functionality or security, upload viruses or harmful code, circumvent access restrictions, probe our systems, or use any robot, scraper, or automated means to access the Site without our express permission.
- Post others' personal information: Do not post anyone else's personal or identifying information without their consent.
- Confidential examination content: Do not upload, post, transmit, request, solicit, summarize, reconstruct, or distribute confidential examination content, including unreleased ExAC questions, answer choices, case scenarios, or prompts recalled from an actual exam sitting. We may remove such content and suspend access where necessary to protect exam integrity.
Any content you contribute must be your own (or you have permission to post it) and must comply with these guidelines. You are solely responsible for any Contributions you make on the Site. We reserve the right (but have no obligation) to monitor user communications and content on the Site, and may remove or edit any user-submitted content or block any users that, in our judgment, violate these Terms, without notice. You can report abuse or problematic content to [email protected].
Licence to your Contributions: By submitting any Contribution, you grant Atelier Exactli a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, publish, translate, adapt, moderate, remove, and otherwise use the Contribution as reasonably necessary to operate, improve, promote, and protect the Services. You represent that you own or have the rights necessary to submit the Contribution and that it does not violate third-party rights, confidentiality obligations, or exam rules.
15. Account Termination and Suspension
By Company: We reserve the right to suspend or terminate your access to the Site or your Account at our sole discretion, with or without prior notice, if we believe you have violated these Terms or any applicable law, or if we believe termination is necessary to protect the security or integrity of our community or Services. This includes the right to delete or disable any content you have posted. In the event of termination by us due to your breach, no refund of any fees will be granted (see Section 21 on Cancellation and Refund Policy).
By User: You may terminate your Account at any time by contacting us at [email protected] with a request to delete your Account. If you simply stop logging in, your Account may remain active until you explicitly request cancellation or until we decide to remove inactive accounts.
Upon termination of an Account (whether by you or by us), your right to access the Services will cease. We may deactivate or delete your Account and all associated data and content, except as required by law or our Privacy Policy. It is your responsibility to back up any data or content you wish to keep before terminating your account.
16. Services, Pricing, and Availability
We strive to provide accurate descriptions of our Services (such as content outlines, study materials, and event descriptions) on our Site. However, all descriptions are general and for informational purposes—the exact content and results of the Services may vary depending on updates, user needs, or evolving exam standards.
Access Options: Atelier Exactli provides digital ExAC study preparation materials and a self-paced resource library. We offer different access options for ExAC (Examination for Architects in Canada) preparation, including the CORE, COMPLETE, and EXPERT tiers, as well as section-specific study modules. The scope of access (which sections are covered, and for how long you have access to the materials) will be indicated in the service description at the time of purchase.
Availability: While we aim to keep our Services accessible at all times, we do not guarantee continuous availability. We reserve the right to discontinue or alter any Service (or part of a Service) at any time. If a Service you have ordered becomes unavailable before we can provide it to you, we will inform you as soon as possible and, if you have already paid, offer you an alternative or a refund for that Service.
Pricing: All prices for our Services are listed in Canadian dollars (CAD) unless otherwise stated. Prices are subject to change at any time at our discretion, but a price change will not affect a Service you have already purchased. Any applicable sales taxes (such as GST/HST or QST) will be added at checkout based on your billing address and shown before you confirm your order. In the event of a pricing error, we reserve the right to correct the price; if you have already placed an order at a misstated price, we will contact you and you may proceed at the correct price or cancel for a full refund.
17. EXPERT Tier — Extended Access
The EXPERT tier includes extended access to the study materials until you pass the ExAC, for as long as Atelier Exactli continues to operate the platform, together with an optional one-on-one study support session.
The EXPERT tier is an access benefit, not a guarantee that you will pass the ExAC. We cannot guarantee exam outcomes (see the Disclaimer), and no refund is offered on the basis of exam results for any tier.
18. Orders and Formation of Contract
Placing an Order: No part of this Site or the Services we offer is a binding legal offer to sell; rather, it is an invitation for potential users to make an offer to purchase. When you select a study package or access option and complete our online checkout process (including payment), you are submitting an order to purchase that Service. All orders are subject to acceptance by us. After you place an order, you will receive an order confirmation by email. This confirmation is generated automatically and does not constitute our acceptance of your order unless it explicitly states acceptance.
Acceptance of Orders: A contract between you and Atelier Exactli is only formed when we send a communication expressly confirming that the order is accepted and/or when we make the purchased Service available to you. We reserve the right to refuse or cancel any order prior to acceptance, for example if there is a technical error in pricing, if we suspect fraudulent activity, or in cases of force majeure. If we do not accept your order, or if we cancel an order after payment, we will promptly refund any amounts paid (using the original payment method) within fourteen (14) calendar days of the notice of non-acceptance/cancellation.
Provision of Services: Upon our acceptance of your order and successful payment, we will provide you access to the purchased digital Services, typically by enabling your Account to access the content on our Site. For scheduled offerings (such as live webinars), the Service will commence at the advertised time.
Access Period: Unless otherwise specified during purchase, when you purchase a study package, you will have access to the online study materials for a period of one (1) calendar year from the date of purchase. The EXPERT tier provides extended access in accordance with Section 17. If you wish to extend access beyond the included period, you may need to purchase the Service again or arrange an extension with us (if available).
Technical Requirements: Access to our Services may require a compatible device and internet connection. You are responsible for ensuring you have the necessary equipment and internet access. We are not responsible for any inability to access the Services due to issues with your hardware, software, or internet connectivity.
19. Payment Terms
Accepted Payment Methods: We accept major credit and debit cards (such as Visa, MasterCard, American Express) and may also accept other forms of electronic payment (such as PayPal) as listed at checkout. Payments are processed through secure third-party payment providers (for example, Stripe and PayPal). By providing payment information, you represent and warrant that you are authorized to use the payment method and that the information is accurate.
One-Time Charges: All purchases on Atelier Exactli are one-time charges for the specific Service or package selected. We do not operate on a subscription or recurring billing model for our study packages. If in the future we offer subscription services, those will be clearly indicated and subject to additional terms.
Billing Information: You agree to provide current, complete, and accurate billing and contact information. If we cannot process your payment due to outdated or incorrect information, we may suspend delivery of the Service until the issue is resolved.
Pricing Errors: If a Service is listed at an incorrect price due to a typographical error, we reserve the right to refuse or cancel any orders placed for that Service. If your payment method has already been charged and we cancel your order, we will issue a credit in the amount of the charge.
20. Optional Live Q&A Events
From time to time, Atelier Exactli may make optional live Q&A events available. Includes access to optional live Q&A events when available. These events are supplementary and are not required to use the digital study materials. They may be included with certain tiers when available, or offered separately.
Registration and access: Where an event requires registration, you will be provided with a unique access link or login instructions for your personal use only. Do not share your access links, meeting IDs, passwords, or provided materials with anyone else. We reserve the right to revoke access without refund if we detect that access information has been shared or abused.
Materials and recordings: Any slides, notes, recordings, or supplementary materials provided in connection with an event are for your personal use only and must not be redistributed or made publicly available.
Conduct: The standards of conduct in Section 14 apply to live events. We may mute or remove participants for disruptive or inappropriate behaviour.
Technical issues: Participants are responsible for having a compatible device and reliable internet connection. We are not responsible for outages or failures caused by third-party platforms (including Kajabi, Zoom, or payment processors). Because these events are supplementary, our responsibility is limited to rescheduling or providing equivalent access if a disruption occurs on our side.
21. Cancellation and Refund Policy
Final sale once digital access is granted, subject to applicable law. Our products are digital and access is provided quickly (often immediately) after purchase. Once digital access has been granted, the purchase is a final sale, subject to applicable law. We do not offer cancellations or refunds for change of mind. This applies to all study packages, study modules, and supplementary events, including the CORE and COMPLETE tiers.
Non-refundable (CORE and COMPLETE): Access fees for the CORE and COMPLETE tiers are non-refundable, except in the case of an error on our part (for example, a double charge, an incorrect amount, or a study package that is never delivered). Dissatisfaction with the materials or not achieving a desired exam result is not a ground for refund, as we cannot guarantee outcomes (see the Disclaimer).
No outcome-based refunds: We do not offer refunds based on exam results for any tier. The EXPERT tier provides extended access (Section 17), not a refund.
Access period: Each CORE or COMPLETE purchase grants access to the study materials for one year. Non-use or inactivity does not entitle you to a refund, in whole or in part.
Exceptional circumstances: If exceptional circumstances prevented you from using the materials, you may contact us at [email protected]. We generally do not provide refunds, but we may, at our discretion, offer a solution such as extending your access period or, in extraordinary cases, a partial or full credit. Please do not send sensitive personal documents unless requested.
Nothing in this Section limits any non-waivable right you may have under the Quebec Consumer Protection Act or other applicable consumer-protection law. The classification and treatment of this purchase under consumer-protection law are subject to that law in all cases.

23. Disclaimer of Warranties
Use at Your Own Risk: Your use of the Site and Services is at your sole risk. The Site, Services, and all Content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.
We do not guarantee that: (a) the Site or Services will meet your specific requirements or expectations; (b) the Site will be available on an uninterrupted, timely, secure, or error-free basis; or (c) the information or Content provided is complete, correct, or up-to-date. We make no representation or warranty that using our materials will result in passing exam scores or any particular outcome. The exam is administered by third parties over which we have no control.
Nothing in this Section excludes or limits any warranty or right that cannot legally be excluded or limited under applicable Canadian or Quebec law.
24. Limitation of Liability
To the maximum extent permitted by law, the total liability of Atelier Exactli Inc., its directors, officers, employees, agents, or licensors for any claim, damages, or losses arising out of or relating to your use of our Site or Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
This limitation applies regardless of whether claims are based on warranty, contract, tort (including negligence), strict liability, or any other legal theory. Nothing in this Section excludes or limits liability that cannot legally be excluded or limited under applicable Canadian or Quebec law (for example, liability for fraud, intentional misconduct, or death/personal injury caused by negligence), nor does it limit any non-waivable right under the Quebec Consumer Protection Act.
25. General Provisions
25.1 Governing Law: These Terms and your use of the Site and Services shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
25.2 Dispute Resolution: The parties will first attempt to resolve any dispute informally by contacting us at [email protected]. Subject to your non-waivable rights under applicable consumer-protection law, any dispute, controversy, or claim arising out of or relating to these Terms that cannot be resolved informally shall be submitted to the courts of competent jurisdiction located in the judicial district of Montréal, Québec. Nothing in this Section prevents you from exercising any non-waivable right available to you as a consumer under the Quebec Consumer Protection Act.
25.3 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
25.4 Entire Agreement: These Terms, together with the Privacy Policy, Cookies Policy, and Disclaimer, constitute the entire agreement between you and Atelier Exactli Inc. regarding your use of the Site and Services, superseding any prior agreements or understandings, whether written or oral.
25.5 Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations at our sole discretion.
25.6 Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
25.7 Headings: The headings in these Terms are for convenience only and shall not affect their interpretation.
